1. Definitions

In these Terms, the following definitions apply:

• "Platform" means the OwnX website, web application, and all related tools and services available at ownx.ae.
• "User", "you", or "your" means any individual or entity who accesses or uses the Platform.
• "Services" means the document preparation, translation, estate planning, and related services made available through the Platform, as updated from time to time.
• "Platform Fee" means the fee charged by OwnX for use of the Platform and the Services.
• "Third-Party Fees" means any fees payable to government bodies, courts, registries, or other third parties in connection with the registration or processing of documents, which are separate from and in addition to the Platform Fee.

2. Nature of the Service

OwnX is a technology platform that enables users to access estate planning and document preparation services online. The Platform has been built in consultation with qualified UAE professionals and is designed to assist users in preparing and managing documents in connection with their estate planning needs in the United Arab Emirates.

OwnX does not provide legal advice. The Platform is a document preparation and facilitation tool only. Nothing on this Platform constitutes legal advice, and no attorney-client relationship is formed between you and Momentum or OwnX at any time. If you have complex estate planning needs, cross-border asset structures, or require legal counsel specific to your circumstances, you should seek independent advice from a qualified UAE-licensed lawyer.

Documents are generated using automated technology based on your responses to the Platform's questionnaire. It is your sole responsibility to review, verify, and confirm the accuracy and completeness of all information before proceeding.

3. Eligibility & User Warranties

To use the Platform, you must:

• Be at least 18 years of age;
• Have full legal capacity to enter into binding agreements;
• Be an expatriate resident or national eligible to register a will under the laws of the UAE (specifically the non-Muslim inheritance provisions under UAE Federal Decree-Law No. 41 of 2022 and Abu Dhabi Judicial Department regulations); and
• Not be prohibited by any applicable law from using the Services.

By using the Platform and proceeding with any purchase, you represent and warrant that:

• You meet all eligibility requirements set out above;
• You are acting of your own free will and are not under duress, undue influence, or coercion from any person;
• You understand that OwnX is a document preparation and facilitation service and is not a law firm;
• You have had the opportunity to seek independent legal advice before using the Platform and before proceeding with any purchase;
• If you have chosen not to seek independent legal advice, you have done so voluntarily and at your own risk;
• All information you provide through the Platform is accurate, complete, and truthful; and
• You will promptly notify OwnX of any material changes to the information you have provided.

4. Account Registration & Security

Certain features of the Platform require you to create an account. You agree to:

• Provide accurate, current, and complete information at all times;
• Maintain and promptly update your account information;
• Maintain the confidentiality of your login credentials;
• Be responsible for all activity that occurs under your account; and
• Notify us immediately at hello@ownx.ae if you suspect unauthorised access to your account.

OwnX may suspend or terminate your account at any time if we reasonably believe that you have provided false information or violated these Terms.

5. Document Preparation & Scope Exclusions

You acknowledge and agree that:

• The accuracy and completeness of any document prepared through the Platform is entirely dependent on the accuracy and completeness of the information you provide;
• OwnX does not independently verify any information you submit;
• You are solely responsible for ensuring that any document prepared through the Platform reflects your true instructions before it is submitted for registration;
• OwnX does not guarantee that any document submitted through the Platform will be accepted, registered, or recognised by any government authority, court, or registry; and
• Applicable legal and regulatory requirements may change from time to time and OwnX will endeavour to keep the Platform updated accordingly, but makes no representation that the Platform is always fully current.

For the avoidance of doubt, the Services provided through the Platform expressly exclude:

• Legal advice, legal opinions, or legal representation of any kind;
• Tax advice, tax planning, or guidance on the tax implications of any will or estate plan;
• Independent verification or due diligence of information provided by the user;
• Enforcement, execution, or administration of the will after the testator's death;
• Probate proceedings, estate administration, or the distribution of assets;
• Resolution of disputes between beneficiaries, executors, guardians, or any other parties;
• Advice on assets situated outside the United Arab Emirates or on the laws of any jurisdiction other than the UAE; and
• Certification or confirmation that any document prepared through the Platform is valid, enforceable, or recognised under the laws of any jurisdiction other than the UAE.

6. Bilingual Documents & Court Translation

Where required, documents are prepared as bilingual instruments in English and Arabic. The Arabic content is prepared by a certified, licensed translator and is included in the Platform Fee. OwnX uses qualified translators and endeavours to ensure accuracy. It is your responsibility to review the complete document in both languages before proceeding.

7. Court Registration & Third-Party Fees

Court registration is a separate step completed by you directly with the relevant UAE authority after receiving your final documents from OwnX. You acknowledge that:

• Registration appointments and timelines are subject to the availability and processes of the relevant authority and may be delayed;
• Third-Party Fees payable to government bodies or courts are separate from the Platform Fee, are payable directly to the relevant authority, and are non-refundable once paid;
• OwnX has no control over any authority's processing times, decisions, or requirements; and
• Final registration is at the sole discretion of the relevant authority.

8. Quality Guarantee, Pricing & Refund Policy

OwnX offers a Quality Guarantee on all will documents prepared through the Platform. This includes a free redraft of the will document if it is rejected by the relevant court or registration authority for formatting or procedural reasons within OwnX's reasonable control, and amendments requested before the document has been submitted for court registration.

Strict No-Refund Policy: Due to the automated and immediate nature of the document preparation service, all Platform Fees are strictly non-refundable once payment is completed and drafting has commenced. This applies regardless of whether the user proceeds to court registration.

9. Intellectual Property

All content, design, software, trademarks, logos, and materials on the Platform (excluding your personal documents) are the intellectual property of Momentum Corporate Services Provider LLC or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent. Your completed documents belong to you.

10. Privacy & Data Protection

OwnX collects and processes personal data in accordance with our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to the collection, use, and storage of your personal data as described therein. We apply encryption and appropriate safeguards to protect your records.

11. Anti-Money Laundering & Sanctions Compliance

By using the Platform, you represent and warrant that all assets referenced in any document are lawfully acquired and beneficially owned, and that neither you nor any person named in your document is subject to any sanctions imposed by the UAE, UN, EU, OFAC, or OFSI. OwnX may report suspicious activity to the relevant UAE authorities as required by law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Momentum Corporate Services Provider LLC, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages, or any damages arising from your reliance on information provided through the Platform. In no event shall our total aggregate liability exceed the Platform Fee paid by you for the relevant service.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC). Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts, Dubai, United Arab Emirates.
